Terms of Service

Version 1.0 draftEffective [effective date]Applies to tradante.com and its subdomains

These terms are the agreement between you and Tradante for using our website and platform. They say what the platform is, what you pay for, how prizes and rewards are decided and paid, what we expect from every player, and what happens when something goes wrong. Read them together with the Rulebook, the Risk Disclosure and the Privacy Policy.

SECTION 1

The agreement

The platform is operated by [legal entity name], [registered address] (“Tradante”, “we”, “us”). By creating an account, joining the beta, or using any part of the website at tradante.com, the documentation site at docs.tradante.com or the logged-in platform (the “App”), you agree to these terms.

Four documents make up the agreement: these terms, the Rulebook (how each product, score and prize works), the Risk Disclosure, and the Privacy Policy. Each product also shows its own terms before you buy or join it: price, entry conditions, targets, limits and prizes. If two of these conflict, the product's own published terms come first for that product, then these terms, then the Rulebook.

If you do not agree, do not use the platform.

SECTION 2

The short version

  • All trading on Tradante is simulated. Accounts we provide are simulated accounts priced from live market data. You do not buy, sell or hold any real market position through them.
  • Tradante is a skill-based game. You pay to take part and you compete on trading performance. It is not an investment, and nothing here is investment advice.
  • What you pay for is a product: a competition pass, a tournament entry, a challenge, a signal. Purchases are final once the product starts.
  • Prizes and rewards follow published rules. Each product states its terms before you join. Payments are subject to fair-play review.
  • No identity verification, no payment. Taking part in any paid product, and receiving any prize, reward or withdrawal, depends on completing identity verification (KYC). We pay verified users only.
  • Not available everywhere. The platform is not offered in certain countries and territories (section 4).
  • One person, one account, your own wallet. Deposits come from, and withdrawals go to, wallets verified as yours.
  • Cheating voids results. Duplicate accounts, mirrored trades between accounts and similar abuse lose their scores, prizes and rewards.

This summary is for convenience. The full text below is what applies.

SECTION 3

What Tradante is and is not

What it is. Tradante is a skill-based simulated trading platform. You trade simulated accounts through a professional trading terminal, at prices taken from live market data, across instruments such as FX, CFDs, futures, commodities and prediction markets. Around the terminal we run competitions, tournaments, challenges, a scoring and level system, and social features. You pay to take part in some of these, and some of them pay prizes or rewards.

Simulated means simulated. Every account we provide is simulated, including challenge accounts and accounts held with Funded Trader Status. The starting balance, the profits and the losses shown on those accounts are figures inside the simulation. They are not money, they are not yours to withdraw, and they do not represent a position in any real market. An order you place on a simulated account is filled by our simulation at prices derived from live market data. It is not an order placed for you with any exchange, broker or liquidity provider, and you acquire no contract, asset or position in any real market.

What it is not. Tradante is not a broker, a dealer, an exchange, a betting operator, a bank, an investment adviser or a fund manager. We do not accept money for investment, we do not manage money for anyone, and we do not solicit investors. The only real money on the platform is what you pay for products, and the prizes and rewards paid under the published rules.

Accounts you hold elsewhere. [Counsel to confirm whether this feature is offered at launch.] If the platform lets you connect an account you hold with a third-party venue, that account is between you and that venue, under its terms. We are not a party to what you do there.

SECTION 4

Who can use it

  • You must be at least 18 years old, or the age of majority where you live if that is higher.
  • You must be a real person acting for yourself. Accounts for companies need our written agreement.
  • You must not be on a sanctions list, or be acting for someone who is.
  • You are responsible for making sure that taking part in paid skill competitions, and holding and transferring USDC, is lawful for you.
  • You must not have had an account closed by us for breaking these terms.

Restricted countries and territories

The platform is not offered to anyone who lives in, is located in, or is verified with a document issued by, a restricted country or territory. This covers every country or territory under comprehensive sanctions of the United States, the European Union, the United Kingdom or the United Nations, and the places listed below.

[List of restricted countries and territories to be set by counsel. It is printed here from the site setting “RestrictedCountries”.]

  • We can change the list at any time, for example when the law or a sanctions regime changes. The list on this page is the one that applies.
  • You may not use a VPN, a proxy, false details or another person's documents to hide where you are or who you are.
  • We may check this at any time, including at registration, at identity verification and when money moves. If we find that an account belongs to someone in a restricted place, we close it. Prizes and rewards are not paid, and the fees for products already started are not returned. The available balance you deposited is returned to your verified wallet where the law allows it. [Counsel to confirm the treatment of balances, in particular for sanctioned persons.]
SECTION 5

Your account

  • One account per person. You may not open or control more than one account, and you may not share, sell or lend your account.
  • Accurate details. The information you give us must be true and kept up to date.
  • Identity verification is a condition of taking part and of being paid. Before money moves in or out you complete a one-time identity check (KYC) with our verification provider. You cannot deposit, buy a paid product, or receive a prize, a reward or a withdrawal until the check is passed. We may ask you to repeat it, or to give more information, where the law or a review requires it.
  • If verification is not passed. A prize or reward you have earned is held, not paid, until verification is passed. If you do not complete verification within [90 days] of being asked, or if it is failed and not remedied, the prize or reward is forfeited and goes back to the pot or the program it came from. Winning a prize does not oblige us to pay a person we cannot verify, or a person in a restricted country or territory (section 4).
  • Your wallet. You link a crypto wallet by signing a message that proves you control it. A wallet can belong to one account only. You are responsible for your wallet, its keys and its recovery phrase. We never hold them and cannot recover them.
  • Security. Keep your password and security codes to yourself. You are responsible for what happens under your login. Tell us at once if you think someone else has access.
SECTION 6

The beta

While the platform is in beta, access is by invitation code and features can change, break or be withdrawn without notice. Scores, levels, rankings, simulated accounts and competition history may be reset during the beta.

Test network in use

Every on-chain transaction on the platform currently runs on Base Sepolia, a test network. The tokens used there, including the test version of USDC, have no monetary value and cannot be exchanged for money. Balances, prizes and rewards recorded on the test network are for testing only. They create no claim against us and will not be carried over to a main network unless we say so in writing.

SECTION 7

Balance, deposits and withdrawals

  • One balance, in USDC. You hold one balance on the platform, denominated in USDC on the Base network and recorded under your address in the platform's vault contract. It pays for every product, and every prize or reward is credited to it. The platform has no token of its own.
  • Your balance is not an investment. It earns no interest and no yield. It is not a bank deposit and is not covered by any deposit-insurance or investor-compensation scheme.
  • Deposits. Deposits are accepted only from a wallet linked to your account. Your balance is credited when the network confirms the transaction. Network fees are yours to pay.
  • Withdrawals. You can ask to withdraw your available balance at any time. Withdrawals are paid only to a wallet verified as yours, and each one is authorised individually before the vault pays it.
  • Holds. We can pause a withdrawal, prize or reward while we complete an identity check, a fair-play review, or a check the law requires of us. A hold pauses the payment; it does not remove the balance.
  • Blockchain transactions are final. We cannot reverse a confirmed transaction or recover funds sent to a wrong address or over a wrong network.
  • Mistakes. If an amount is credited to you in error, we may correct it, and you agree to return anything you were not entitled to.
SECTION 8

Purchases and fees

  • What you buy. Competition passes, tournament entries, challenges and signals are products and services. A purchase gives you the right to take part under that product's published terms, and nothing else. It does not give you a share in Tradante, in any prize pot, or in any program allocation.
  • How you pay. The price is taken from your balance in one transaction. The way each payment is divided (prize pot or program allocation, awards, our fee, reserves) is published for each product and is carried out automatically when you pay.
  • Terms are fixed at purchase. A product's price and the division of its fee are fixed when the product is created. If we change them, that is a new product; the terms you bought under stay on record.
  • Our fee. Our revenue from products is the published fee. We take no position against you on simulated accounts and we do not earn from your simulated losses.
  • No refunds once it starts. A purchase is final once the product has started: when a challenge account is issued, when a board or tournament you entered has opened, when a signal has been delivered. Your entry is returned if you leave a tournament before it starts or if we cancel it. [Counsel to add any statutory cancellation rights that cannot be excluded.]
  • Taxes. You are responsible for any tax due on what you receive from the platform.
SECTION 9

Competitions and prizes

  • Skill decides. Results come from trading performance on simulated accounts at live market prices, scored by the Trade Point Score (TPS) described in the Rulebook. There is no draw and no random element in deciding a winner.
  • Rules are published first. Each board, tournament and prediction product states its entry terms, restrictions, scoring and prizes before you join.
  • Prize pots. A prize is paid from the pot of the event it belongs to. An event cannot pay out more than its pot holds. The size of a pot depends on entries and can be smaller than an advertised estimate; a guaranteed amount is guaranteed only where the event's terms say so.
  • Results. Results become final when the event closes and any fair-play review is complete. We can correct a result that was affected by a scoring error, a data error, or a breach of section 12, including after a prize was credited.
  • Cancellation. We can cancel or reschedule an event, for example if it does not reach its minimum number of players or if a technical problem makes a fair result impossible. Entries to a cancelled event are returned.
  • Levels, badges and awards have no cash value unless a specific award says otherwise, and cannot be transferred or sold.
SECTION 10

Challenges and Funded Trader Status

A challenge is a paid evaluation. You buy a challenge and trade a simulated account under published rules: targets, loss limits, time limits and permitted instruments. The fee pays for the evaluation service. It is not a deposit, not trading capital and not an investment.

Everything stays simulated. If you meet the targets you receive Funded Trader Status: a simulated account with a larger simulated starting balance, under the same kind of rules. No live account exists at any stage. When we describe an account by a figure, for example a “$50,000 account”, that figure is a simulated starting balance. We do not transfer, lend or allocate that amount to you.

Performance Reward. A trader with Funded Trader Status provides us with trading data, signals and analytics, which we use and license on the platform (section 14). In return we pay a Performance Reward. The reward is calculated by reference to the simulated profits of the account, up to the percentage published for the product, and is paid on request once the published conditions are met: identity verification, minimum trading days, consistency rules, and no breach of the account's limits. It is payment for those services. It is not a share of trading profits, because no real trading profits exist.

Program allocation. A published share of challenge revenue is allocated by Tradante to fund the operation of the program, including Performance Rewards, technology, data and program development. That allocation is Tradante's. You hold no ownership, no beneficial interest, no redemption right and no proportional claim in it.

Breaching a limit ends the attempt. Limits are checked continuously while you trade. Exceeding one ends the challenge or the Funded Trader Status, and the fee is not returned.

Rewards are not guaranteed. Buying a challenge does not mean you will pass it, and holding Funded Trader Status does not mean you will earn a reward.

SECTION 11

Signals, copy trading and social features

  • What other traders publish is theirs, not ours. Positions shown on the Social Order Book, signals, reviews and posts come from users. We do not check them, endorse them or stand behind them.
  • Not advice. A signal or a copied trade is part of the game. It is not a recommendation to trade in any real market.
  • Copies stay on the platform. Copied trades are placed on simulated accounts only. The platform does not send them to any outside account or market.
  • Selling signals. If you sell signals, your level sets the highest fee you may charge, the sale is settled from the buyer's balance to yours when it is made, and our published marketplace fee is deducted. You must not present your signals as investment advice or promise results.
  • Visibility is your choice. You decide whether your positions are shown to everyone, to followers, or to no one. What you choose to publish can be seen and copied by that audience.
SECTION 12

Fair play

You must not:

  • open or control more than one account, or use another person's account or identity;
  • offset trades between accounts, yours or anyone else's, so that one wins what the other loses, or coordinate with others to fix a result;
  • exploit price-feed errors, delayed prices, platform bugs or outages, or trade in a way that only works because the account is simulated and has no connection to real market conditions;
  • use bots, scripts or automated tools unless the product's terms allow them;
  • refer yourself, or create or buy fake accounts to collect referral or award payments;
  • use the platform to launder money, evade sanctions or commit fraud;
  • attack, probe, scrape or overload the platform, or try to reach data or accounts that are not yours;
  • harass other users, or post unlawful, misleading or abusive content;
  • describe Tradante to others as an investment, or promise earnings from it.

Scores, prizes and rewards obtained by breaking these rules are void.

SECTION 13

Reviews, holds and closing accounts

  • Review before action. Automated checks can flag an account, but a person reviews the flag before a result, payment or account is affected. We tell you the reason and you can respond.
  • What we can do. Where we find a breach of these terms we can void the scores and results affected, withhold or recover the prizes and rewards obtained through it, end a challenge or Funded Trader Status, and suspend or close the account.
  • Your balance on closure. If we close an account, the available balance that does not come from a breach is paid to your verified wallet, unless the law requires us to hold it.
  • You can close your account at any time by writing to us. Withdraw your balance first. Products you have bought are not refunded on closure.
  • Emergency pause. In a security incident the platform's contracts can be paused. A pause stops money moving for everyone equally until the incident is resolved; it does not take money from anyone.
SECTION 14

Your content and trading data

You keep what is yours. To run the platform, you give us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and distribute the content you publish (profile, posts, reviews, signals) to the audience you chose.

Trading on the platform produces trading data: orders, positions, results, scores and statistics. You give us a worldwide, perpetual, royalty-free licence to use that data to operate the platform, to build rankings, signals, analytics and research, and to license those to others, in aggregate or under your username as your visibility settings allow. For traders with Funded Trader Status, this data and signal licence is the service that the Performance Reward pays for (section 10).

Personal data is handled as described in the Privacy Policy.

SECTION 15

Our intellectual property

The platform, its software, design, text, scoring system, badges, level artwork and the names Tradante, Social Order Book and Trade Point Score belong to us or our licensors. We give you a personal, revocable, non-transferable licence to use the platform for its purpose. You may not copy, resell, reverse-engineer or build a competing service from it. Market data shown on the platform is licensed to us for display and may not be redistributed.

SECTION 16

Third-party services

The platform depends on services we do not run: the Base network, the USDC stablecoin and its issuer, your wallet app, the identity-verification provider, market-data providers and prediction-market venues whose prices we display. Each has its own terms. We are not responsible for their availability, their decisions or their failures, including a network outage, a change in the value of USDC, or an issuer freezing an address.

SECTION 17

No advice

Nothing on the platform is investment, financial, legal or tax advice. Prices, charts, rankings, signals, other users' positions and our own materials are provided for the game and for learning. Results on a simulated account say nothing reliable about what would happen in a real market. See the Risk Disclosure.

SECTION 18

Disclaimers

The platform is provided as it is and as it is available. To the extent the law allows, we give no warranty that it will be uninterrupted, error-free or secure, that prices shown will match any real market at any moment, or that any product will remain available. Price feeds can be late, wrong or missing; we may correct simulated fills, scores and results that were based on a clearly wrong price.

SECTION 19

Limits on our liability

To the extent the law allows:

  • we are not liable for indirect or consequential loss, lost profits, lost opportunity, or loss of data;
  • we are not liable for losses caused by third-party services (section 16), by your wallet or device, by events outside our reasonable control, or by your breach of these terms;
  • figures on simulated accounts are not money, and a lost or unrealised simulated profit is not a loss we are liable for;
  • our total liability to you in any 12-month period is limited to [the greater of the fees you paid us in that period and a fixed amount, to be set by counsel].

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or takes away rights you have as a consumer that cannot be waived.

SECTION 20

Indemnity

If someone brings a claim against us because of content you published, signals you sold, or your breach of these terms or of the law, you agree to cover our reasonable losses and costs from that claim. [Counsel to confirm this clause for consumer users.]

SECTION 21

Changes

  • To the platform. We can add, change or withdraw products and features. Fees and fee divisions are public parameters in the platform's contracts; a change is a signed, timestamped, public transaction and applies only to purchases made after it.
  • To these terms. The version number and effective date at the top move with each change. For a material change we tell you by email or by a notice in the App before it takes effect. If you keep using the platform after that date, you accept the new terms. If you do not accept them, stop using the platform and withdraw your balance.
SECTION 22

Governing law and disputes

Talk to us first: most problems are solved by writing to the address in section 24, and we answer within [30 days].

These terms are governed by the laws of [governing law]. Disputes are decided by [courts of … / arbitration under … rules, seated in …]. [Counsel to add: class-action waiver if used, and the carve-out for mandatory consumer protections of the user's home country.]

SECTION 23

General

  • These terms and the documents in section 1 are the whole agreement between you and us about the platform.
  • If part of these terms cannot be enforced, the rest still applies.
  • If we do not enforce a term at once, we can still enforce it later.
  • You may not transfer your rights under these terms. We may transfer ours as part of a merger, acquisition or sale of the business, and we will tell you before it happens.
  • These terms are written in English. If a translation differs, the English text applies.
